3. Intellectual Property
All content on this website — including text, graphics, logos, and code — is the property of Innvoque and is protected by applicable copyright and intellectual property laws. You may not reproduce, distribute, or use any content without our prior written consent.
Upon full payment for a completed project, all custom-developed deliverables will be transferred to the client as outlined in the project agreement. Any third-party libraries, frameworks, or tools used retain their respective open-source licences.
4. Client Responsibilities
As a client or user of our services, you agree to:
- Provide accurate and complete information necessary for project delivery.
- Respond to communications and review requests within agreed timelines.
- Ensure that any content, data, or assets provided to us do not infringe third-party rights.
- Make payments according to the agreed payment schedule.
5. Payment Terms
Payment terms will be specified in each individual project agreement. Unless otherwise agreed:
- A non-refundable advance of 50% is required before project commencement.
- The remaining balance is due upon project completion, prior to final delivery.
- Late payments may result in work suspension and attract a late fee as specified in the project agreement.
6. Confidentiality & NDA
We treat all client information with strict confidentiality. We are willing to sign a Non-Disclosure Agreement (NDA) before any technical discussion. We will not disclose your business ideas, project details, or proprietary data to any third party without your explicit written consent.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Innvoque shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of our website or services. Our total liability in connection with any project shall not exceed the total amount paid by you for that specific project.
8. Warranties & Disclaimers
We warrant that our services will be performed with reasonable skill and care, consistent with industry standards. However, we do not guarantee specific business outcomes, revenue growth, or search ranking results. Our website and services are provided "as is" to the fullest extent permitted by law.
9. Termination
Either party may terminate a service agreement with 14 days' written notice. Upon termination, the client will be invoiced for all work completed up to that date. Any advance payments made are non-refundable. We reserve the right to immediately terminate any agreement if a client is found to be in material breach of these Terms.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Lucknow, Uttar Pradesh, India.
11. Changes to Terms
We reserve the right to modify these Terms at any time. Updated Terms will be published on this page with a revised "Last Updated" date. Continued use of our website or services after any change constitutes your acceptance of the new Terms.
